Customer Terms of Service

The agreement between you and SGT Cart for using sgtcart.com and the SGT Cart mobile apps.

These Terms of Service ("Terms") form a binding contract between you (every person who visits, browses, registers or purchases on the SGT Cart website at sgtcart.com or any related mobile app — collectively "the Platform") and Smart Global Trade Cart, doing business as SGT Cart ("we", "us", "our"). By creating an account or placing an order you confirm that you have read, understood and agreed to be bound by these Terms together with our Privacy Policy, Cookie Policy, Refund Policy and Buyer Protection Program. If you do not agree, please do not use the Platform.

1. Definitions

In these Terms, capitalised words have the following meaning:

ListingA product page created by a Seller, including title, description, price, images, variants and stock.
OrderA confirmed purchase request placed by a Customer for one or more Listings.
Sub-OrderThe portion of an Order fulfilled by a single Seller. One Order may contain multiple Sub-Orders.
Reward PointsLoyalty units credited to your account on delivered Orders, redeemable at checkout. See §11.
BDT / TkBangladeshi Taka — the only currency the Platform transacts in.

2. Eligibility & capacity to contract

To use the Platform you must:

  • Be at least 18 years old (the age of majority under the Majority Act, 1875 of Bangladesh) and capable of forming a legally binding contract under the Contract Act 1872.
  • Provide accurate, current and complete information at signup, and keep it up to date.
  • Use the Platform only for lawful personal purposes — re-sale of items purchased on SGT Cart through another platform requires explicit written permission.
  • Not be a person prohibited from receiving services under Bangladesh law or any applicable international sanctions list.

If you are between 13 and 17 you may browse the Platform but may only place Orders through the account of a parent or legal guardian who accepts these Terms on your behalf. Children under 13 are not permitted to register — see our Children's Privacy Policy.

3. Your account

Your account is personal. You are responsible for:

  • Keeping your password and one-time login codes (OTPs) confidential.
  • All activity that occurs through your account, whether or not authorised by you.
  • Notifying us immediately at support@sgtcart.com if you suspect unauthorised access.
  • Updating your delivery address, contact email and mobile number so Orders and notifications reach you.

We reserve the right to suspend or close accounts that show signs of fraud, multiple-account abuse, voucher gaming, or other behaviour that violates these Terms or harms other users.

4. SGT Cart's marketplace role

SGT Cart is an online marketplace — a venue that connects independent Sellers with Customers. For every Listing:

  • The Seller is the contracting party who actually sells the product to you.
  • SGT Cart provides the technology, payment processing, dispute mediation, and delivery coordination — but does not own the inventory listed by Sellers (unless a Listing is expressly marked "Sold & Shipped by SGT Cart").
  • The legal contract for the sale of goods is formed between you and the Seller. SGT Cart is not a party to that contract of sale, except where it acts as Seller of record.

Despite this, SGT Cart commits to the customer protections described in Buyer Protection, Refund Policy and Dispute Resolution — so you have a clear path to remedy if a Seller fails to deliver, delivers the wrong item, or sells a counterfeit.

5. Listings & accuracy

Sellers are responsible for the accuracy of every Listing, including title, description, photographs, specifications, price, weight, variant options and stock quantity. SGT Cart screens Listings for prohibited items, counterfeits and policy violations, but does not warrant that every Listing is error-free or that the product depicted is identical in every detail to the item shipped.

If you receive a product that materially differs from its Listing, you may seek a refund or replacement under §10 and the Refund Policy.

6. Pricing & currency

All prices on the Platform are shown in Bangladeshi Taka (BDT, Tk) and are inclusive of VAT where applicable. Sellers are required to display VAT-inclusive pricing under NBR rules.

Shipping fees, optional add-ons and Cash-on-Delivery surcharges (if any) are shown separately at checkout before you confirm the Order. Promotional discounts, coupon savings, reward-point redemptions and bulk-pricing tiers are likewise displayed before payment.

If a Listing displays a price that is clearly a mistake (for example, a Tk 50,000 product mistakenly listed at Tk 50), SGT Cart and the Seller reserve the right to cancel the affected Sub-Order and refund in full. We will notify you and never charge a price you did not confirm at checkout.

7. Placing an order

When you place an Order:

  1. You make an offer to buy the items in your cart from the respective Sellers, on the terms shown at checkout.
  2. SGT Cart sends you an order confirmation email and an in-app notification with a unique Order number.
  3. An Order is accepted by a Seller only when that Seller marks the Sub-Order as "processing". Until then the Seller may decline (typically for out-of-stock, address-unreachable, or payment-not-cleared reasons) and you will be refunded in full.

Multi-vendor Orders are split into Sub-Orders, one per Seller. Each Sub-Order is fulfilled and may be cancelled or refunded independently.

8. Payment

The Platform supports the following payment methods (full details at Payment Methods):

  • Cash on Delivery (COD) — pay the delivery agent in cash on receipt.
  • bKash & Nagad — via mobile-wallet redirection.
  • Card (Visa, MasterCard, AMEX, Discover) — via SSLCommerz, a PCI-DSS-compliant gateway. SGT Cart never sees or stores your full card number.
  • Reward Points — redeem your balance at checkout up to the cap displayed.

By submitting payment information you authorise SGT Cart and our payment processor to charge the total displayed at checkout. Failed prepaid payments leave the Order in an unpaid state — you can retry from your My Orders page.

9. Delivery & risk of loss

Estimated delivery times are shown on each product page and at checkout, based on the destination district and the Seller's processing time (typically 1-7 business days within Bangladesh). Delivery time may vary during national holidays, force-majeure events, and severe weather.

Risk of loss transfers to you upon successful delivery to the address you provided. If delivery fails because nobody was available, the carrier will reattempt up to twice; thereafter the Sub-Order may be cancelled and refunded (less actual return-shipping cost where applicable). 10. Returns & refunds

You may return most products within 7 days of delivery if they are unused, in original packaging, and with all tags. Some categories are non-returnable for health or hygiene reasons (perishables, intimate wear, custom-made goods) — these are clearly marked on the product page.

Damaged-on-arrival, wrong-item, or counterfeit deliveries are eligible for a full refund or replacement at no return-shipping cost to you, regardless of category. The full procedure, timelines and refund methods live in the Refund Policy and Returns pages.

11. Rewards & promotions

Reward Points are credited to your account when a Sub-Order is marked delivered, at a rate disclosed in Rewards Program. Points are non-transferable and have no cash-out value; they can only be redeemed at checkout on subsequent Orders.

Coupons, flash sales, sponsored placements and "free-shipping threshold" promotions are governed by their individual terms shown at the point of use. Promotions are non-stackable unless explicitly allowed. SGT Cart reserves the right to revoke promotional benefits gained through abuse (account farming, voucher resale, click fraud).

12. Reviews, Q&A, user content

When you post a review, rating, photo, Q&A entry, or any other content on the Platform ("User Content"), you grant SGT Cart a worldwide, royalty-free, non-exclusive licence to host, display, reproduce, translate and excerpt that content in any medium for the purpose of operating and promoting the Platform.

You promise that your User Content:

  • is original to you or you have rights to share it;
  • does not contain personal contact details, phone numbers, off-platform URLs, or anything that violates our Anti-Disintermediation Policy;
  • is not defamatory, obscene, hateful, harassing or unlawful;
  • only reviews products you actually purchased — verified-purchase enforcement applies.

We may remove User Content that violates these rules without prior notice.

13. Prohibited customer conduct

You agree not to:

  • Use the Platform for any illegal purpose or in violation of Bangladesh law.
  • Buy from, or attempt to make payment to, sellers outside the Platform after using SGT Cart to discover them.
  • Defraud Sellers (e.g., false damaged-on-arrival claims, friendly fraud chargebacks).
  • Resell items purchased on SGT Cart without authorisation in a way that misleads buyers.
  • Use bots, scrapers, or automated tools to access the Platform without our written consent.
  • Reverse-engineer, decompile, or tamper with the Platform's code or APIs.
  • Upload viruses, malware, or any code intended to disrupt the Platform.
  • Impersonate another person, a Seller, or an SGT Cart staff member.

14. Suspension & termination

We may, at our discretion and without prior notice, suspend or permanently close your account, cancel pending Orders, revoke unused reward points, and refuse future service if we have reasonable grounds to believe you have violated these Terms, defrauded a Seller, or created risk for the Platform. You may also close your account at any time by writing to support@sgtcart.com; pending Orders and delivered-but-not-paid balances will be settled first.

15. Disclaimers & limitation of liability

The Platform is provided "as is". We make no warranties about uninterrupted availability, error-free operation, or that the Platform is free of viruses. To the maximum extent permitted by Bangladesh law:

  • SGT Cart is not liable for indirect, incidental, special, punitive or consequential damages.
  • Our total aggregate liability to you in connection with any Order is capped at the amount you actually paid for that Order.
  • Nothing in these Terms excludes or limits liability for death, personal injury caused by our negligence, or fraud.
This limitation does not apply to your statutory consumer-protection rights under the Consumer Rights Protection Act 2009 ("CRPA"), which remain in force.

16. Changes to these terms

We may revise these Terms from time to time. When we make a material change, we will post the updated version with a new "Last reviewed" date and notify registered users by email and in-app notification at least 14 days before the new version takes effect. Your continued use of the Platform after that date constitutes acceptance. Past versions are available on request from policy@sgtcart.com.

17. Governing law & jurisdiction

These Terms are governed by the laws of Bangladesh. The courts of Dhaka have exclusive jurisdiction over any dispute arising from or connected with these Terms or your use of the Platform.

If you are located outside Bangladesh, this clause does not deprive you of consumer-protection rights mandatorily granted by your local law. However, the primary forum remains the Dhaka courts, and the substantive law remains Bangladesh law.

18. Dispute resolution & contact

Before approaching a court, you agree to use our internal resolution steps: direct chat with the Seller → Buyer Protection claim → SGT mediation → CRPA §76 redressal → arbitration under the Arbitration Act 2001. The full ladder is in our Dispute Resolution & Arbitration policy.

Frequently asked questions

No — you can browse freely. An account is required only when you place an Order, write a review or chat with a Seller.

Yes. These Terms govern Customers. Sellers have a separate, more detailed agreement at /seller-terms/ that includes KYC, payouts, performance standards and commission.

Unredeemed points lapse on account closure. We recommend you redeem them on a final Order before closing.

No. The price you confirmed at checkout is the price you pay. The only exception is the mistake-price clause in §6 — and even there we refund in full, never charge more.

Currently sgtcart.com ships within Bangladesh only. International shipping will be opened in a later phase; until then, international users may browse but not place delivery Orders.
